Subject: Legal provisions regarding the establishment or renewal of association branches.
Peace be upon you,
The Ministry regularly receives information about the establishment of branches of existing associations or the renewal of these branches’ offices without notifying the local authorities where the parent associations are headquartered. This contradicts the provisions of Article 5 of Royal Decree No. 1.58.376 issued in Jumada Al-Ula 1378 (November 15, 1958), which regulates the right to establish associations.
In this context, and to avoid any resulting legal disputes, local administrative authorities receiving such declarations related to establishing association branches or renewing their offices must ensure proper application of the relevant legal provisions regarding declarations of subsidiary or branch institutions of existing associations.
As a reminder of the content of paragraph six of the aforementioned Article 5, “any change in management, administration, or amendments to basic laws, as well as the establishment of subsidiary or branch institutions, must be declared within the following month under the same conditions. These changes and amendments shall only take effect from the date of declaration.”
Accordingly, the establishment of any branches of existing associations must be declared within the following month under the same conditions, meaning that the parent association is responsible for declaring the establishment or renewal of its branch offices to the local administrative authorities where the parent association is headquartered.
In this regard, local administrative authorities receiving applications to declare branches of associations outside their territorial jurisdiction must verify with the local administrative authorities of the parent associations that these associations have declared the establishment of said branches, before issuing any receipt for these branches, while ensuring that the parent associations’ bylaws permit this.
Therefore, I urge you to ensure proper implementation of these provisions.
