The annual report of the Competition Council revealed a significant increase in the number of economic concentration operations that received approval in 2023. According to the report, the Council issued 204 decisions in 2023, of which 191 economic concentration operations were approved, representing a 40% increase compared to the previous year.
Amounts and Investments Involved
The total amounts for the approved operations in 2023 reached approximately 1.960,845 billion dirhams, nearly 2.5 times the commitments related to authorized economic concentrations in 2022 (787.933 billion dirhams). Investments involving Moroccan capital amounted to 164.827 billion dirhams.However, the mobilized amounts experienced a decline, dropping from around 24% to just over 8% of the total commitments of the notifying parties, representing a decrease of about 11%.
Key Issues of Authorized Operations
According to the report, the main issues associated with the notifications approved by the Competition Council in 2023 include:
- Strengthening the market positioning of the concerned companies (24%)
- Diversifying investments and enhancing competitiveness (20%)
- Market diversification (18%)
- Strengthening synergies and complementarities (16%)
- Refocusing activities on strategic areas (less than 3%)
Fast-Track Procedure and Fees
With the entry into force of the amendment to Law No. 104-12 regarding price freedom and competition on May 24, 2023, 40 out of 104 authorized operations were processed under the fast-track procedure at the request of the concerned parties. The average investigation duration was established at just over a month and a half, regardless of the nature of the operations involved and the complexity of the markets.The parties paid fees totaling 8.27 million dirhams in exchange for the study of their respective notification files under the fast-track procedure.
